Companies House - Confirmation Statement

Just had a look at our Companies House pages.

Interesting to see that the Annual Confirmation Statement that lists all the shareholders and their shareholdings is now overdue for submission.

Last year it was submitted on the earliest possible date it could be which is 23rd June.

To thickies like me what does that mean exactly

It could be being delayed because they think that a large transfer of shares will be recorded on the Confirmation Statement which would only happen if there was a change in ownership.

If it's anything like the VAT fiasco, probably more likely it's just the Club's foul up rather than anything more sinister.

It shouldn't be a club foul up. Co-Chairman being an accountant will have his finger on the pulse. Last year it was submitted on the first day it possibly could.

Presumably if shares change hands this week before the Confirmation Statement is filed online then it would reflect the new controlling interest when it is finally submitted ?

No other reason to hold it back , unlike when they amend the financial year-end to give another 3 months to file the annual accounts.

Statement still not filed and 4 days overdue. I have never seen it submitted late for the club before.

Maybe waiting for a transfer/sale of shares to be made and reported

Forgive my ignorance but what does the above mean....

Is it just confirmation that Bond Group are still our owners or is it a statement to say that they were the owners....

Is it just confirmation that Bond Group are still our owners or is it a statement to say that they were the owners....

It just confirms that at the date the Confirmation Statement was submitted the Bond Group were the majority controlling shareholder and therefore they were the owners of Morecambe FC.

If the shares held by Bond Group are sold soon which we all hope then the next Confirmation Statement in 2025 will reflect that.

Why have 78,000 shares been issued if a sale is going through?

If you were putting money in to the football club, would you loan it and charge interest or would you buy 78000 shares that are pretty much worthles?

Doesn't Companies House also show 5,278,000 shares too? Apparently at the same value in GBP.

Then page 3 shows a total of 5,334,181, which is short of the sum of the 2, but maybe has had costs deducted?

does £5.33 million reflect a purchase?

Given that the club will have received a lot of money in May/June for season ticket sales, it seems very worrying if they've run out of money already and needed an input of capital to pay the wages in July!

The ST money should be ringfenced and released over the entire season to pay costs as the months pass, not be used up fully even before the season has started.

Or just somebody slowly building up their investment in the Club.

The question is is it someone who already owns shares or is it somebody new?

If it is new investment to pay wages then hasn’t JW agreed a budget for the year so you would have thought he could raise that capital himself. It’s all part of being a responsible owner ( ).
