It's interesting that since the announcement of Diego and Co that PMcG hasn't been seen at the club and that the clubs General Manager and Director is still on gardening leave.
But Company Law still over-rides such arrangements. A Board Chairman may have a casting vote, but all major decisions still need Board approval, by a majority of the board. All the directors should be fully involved in the company's operations and can't hide behind a "not my department" argument if things go wrong.

It is therefore very dangerous for directors to turn a blind eye to, or fail to pay attention to, anything going on in their company - particularly in relation to the company's financial situation. Directors can be held jointly and severally liable if they act in breach of their responsibilities."
